NO PURCHASE NECESSARY.

1. CONTEST DATES: The Healthy Living and Balance Living Life to the Fullest Contest (“Contest”) begins at 12:01:00 a.m. Eastern Time (ET) on February 23, 2009 and concludes at 11:59:59 p.m. on April 30, 2009 (the “Promotion Period”). Entry does not constitute entry into any other promotion, contest orsweepstakes. By participating, each participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Healthy Living and Balance, 275 13th Street, NE Suite 502, Atlanta, Georgia 30309 (”Sponsor”), which shall be final and binding in all respects.

2. ELIGIBILITY: Contest is open to legal residents of the United States 40 years of age or older. Healthy Living and Balance, its officers, directors, employees, and its parent company, subsidiaries, and affiliated companies and advertising and promotion agencies (collectively, the “Promotion Entities”) and each of their immediate family members and/or those living in the same household of each are ineligible to enter or earn an award. Void where prohibited by law.

3. AWARD OPPORTUNITIES:

a. First Place: One (1) Contestant who achieves the highest overall score on the Living Life to the Fullest Essay Contest submission will receive a 7-day/6-night trip for one (1) person to Costa Rica. Trip includes round-trip coach class air transportation from winner’s nearest gateway airport to Costa Rica, six (6) nights lodging (based on single-occupancy) at El Cafetal Inn, three (3) meals per day (breakfast, lunch, and dinner), and scheduled daily activities throughout the trip. (ARV: $3,600)

b. Second Place: The next ten (10) Contestants with the second through eleventh highest overall scores in the Contest will receive a $350.00 discount on ground transportation, accommodations, and activities in Costa Rica during the dates of the trip operation. Air transportation and meals are NOT included in the Second Place award. (Total ARV: $3,500)

c. Participation Award: All Contestants in the Contest will receive a 25% discount on any merchandise items featured on the Healthy Living and Balance website at healthylivingandbalance.com.

4. PARTICIPATION REQUIREMENTS. ALL ESSAYS MUST COMPLY WITH THE FOLLOWING CONTEST RULES BEFORE SUBMISSION:

a. No literary form other than an essay will be accepted.

b. Essays must be submitted online at www.lifeempowermentretreats.com.

c. Limit of one (1) entry per person and/or per email address per day during the Promotion Period. Once submitted, entries become the property of the Sponsor. Personal information collected online in connection with this contest will be used in accordance with the privacy policy found on the Sponsor’s website (www.lifeempowermentretreats.com) and the permission granted by entrants at the time of entry.

d. Essay text must be typed in English and at least 500 words and no more than 1,500 words (approximately 1–3 single sided, single-spaced page(s) with one-inch margins).

e. Essays must be received by 11:59:59 PM (ET) on or before April 30, 2009.

f. All essay entries must be the original work of the entrant, never previously published, must not infringe on any third party rights, and may not include content which is offensive, violent, derogatory, sexually suggestive, obscene, defamatory, explicit language, or is otherwise inappropriate for publication in general circulation. By entering the Promotion, the entrant gives the Sponsor the right to use, edit, or publish the entry without further compensation and winner assigns all rights, title, and interest in the essay to the Sponsor, and, if required, will sign any documents necessary to transfer copyright and rights of publicity. Submission of an essay entry further constitutes the entrant’s consent to irrevocably assign and transfer to Sponsor any and all rights, title, and interest in the essay, including, without limitation, all copyrights and rights of publicity. Winner may have to certify in writing that his/her essay entry was original and produced by the entrant and no other person or entity holds rights to entry. All entry materials become the property of Sponsor and will not be returned.

5. JUDGING: A panel of independent judges, as designated by Sponsor, who are experts from a wide variety of disciplines, will be assembled to judge the essays using four Criteria as shown below:

6. AWARD REDEMPTION: The potential winners will be notified by telephone and/or mail and/or email using the contact information provided on the entry form. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt (or such shorter time as exigencies may require), or if the award or award notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her award. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines an award for any reason prior to award fulfillment, such potential winner will be disqualified.

7. GENERAL AWARD CONDITIONS: All costs and expenses incurred in connection with redeeming, accepting, or using an award that are not specifically provided for herein, such as tax, gratuities, personal expenses, and any incidental expenses, are solely the responsibility of the applicable award winner. Awards will only be delivered to an address in the United States. Awards not claimed in accordance with these Official Rules will not be awarded. No cash alternative, transfer, or substitution of Awards will be allowed, except Sponsor reserves the right in its sole discretion to substitute Award(s) of comparable value if any Award listed is unavailable for any reason. Awards pictured in point-of-sale, online, television and print advertising, and other materials are for illustrative purposes only. Actual award(s) may vary from prizes pictured. All details and other restrictions of Awards not specified in these Official Rules will be determined by Sponsor in its sole discretion. Potential First and Second Place Award winners must execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release (collectively, “Award Claim Documents”) within (10) days of notification. Non-compliance with the foregoing may result in disqualification and awarding to an alternate winner. If any Award notification letter or Award is returned as undeliverable, winner may be disqualified. Confirmation of First and Second Place winners is subject to Sponsor’s verification of the Award Claim Documents. Each Award winner shall be solely responsible for any federal, state and/or local taxes incurred in claiming the Award. The First and Second Place winners will be issued a 1099 tax form in January, following the receipt of the Award for the retail value of the Award.

8. GENERAL RELEASE AND CONDITIONS OF PARTICIPATION: Entry constitutes acceptance of all Official Rules. Acceptance of an award constitutes permission by winner for Sponsor, its parent company, affiliates and franchisees to use winner’s name, photograph, likeness, voice and biographical information,for advertising/trade/ promotional/publicity purposes, and each such winner hereby grants Sponsor and those other parties any and all rights to said use, without further notice of compensation or authorization, except where prohibited by law. By participating in the Living Life to the Fullest Essay Contest and redeeming an Award, each winner hereby releases and agrees to hold the Promotion Entities harmless from and against any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Living Life to the Fullest Essay Contest or any Contest-related activity, or the receipt, use or misuse of any prize. The Promotion Entities are not responsible for printing or clerical, typographical or other errors in any other Contest-related materials or in the offering or announcement of any Award or in any Award notification documents; for stolen, lost, late, misdirected, damaged, incomplete, illegible, or postage-due mail or entries; or for transactions that are processed late or incorrectly, or are lost due to computer, electronic malfunction or post office/delivery service delays or errors; or for any other errors of any kind or nature. The Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, with respect to any Award, and the Promotion Entities hereby disclaim any and all such warranties including, without limitation, the warranties of merchantability and fitness for a particular purpose.

9. TECHNICAL TERMS AND CONDITIONS: The Promotion Entities assume no responsibility for any damage to an entrant’s computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature that is directly or indirectly caused by participating in the Living Life to the Fullest Essay Contest. Without limiting the generality of the foregoing, the Promotion Entities are not responsible for incomplete, illegible, misdirected, late, lost, damaged, or stolen awards or entries; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any prize or in any award notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries will be accepted.

10. OFFICIAL WINNER’S LIST REQUEST: To receive a copy of any legally-required Official Winners List, mail a self-addressed stamped envelope to: Healthy Living and Balance, 275 13th Street, NE Suite 502, Atlanta, Georgia 30309. All requests must be received by 5/15/09.
